Licence Terms

These terms govern access to and use of Bowtie Risk Engine — the web application, the desktop edition, and this website. By signing in or using the software you agree to them. Where you hold an Order (a quotation we have issued and you have accepted), the Order's specific terms prevail over these to the extent of any inconsistency.

1. Parties and definitions

The software is licensed by Bowtie Risk Engine ("we", "us"). "Customer" means the individual or organisation named in an Order. "Named User" means a specific individual authorised under the Customer's licence. "Customer Data" means diagrams, registers, libraries, and other content the Customer creates with the software.

2. Licence grant

Subject to payment and these terms, we grant the Customer a non-exclusive, non-transferable licence to use the software for its internal business purposes, in the tier and quantity set out in the Order:

Licences are issued per named individual. Sharing credentials, or rotating one user licence across multiple people to circumvent user counts, is not permitted; reassigning a licence when a person leaves a role is fine — contact us and we will move the entitlement.

3. Term of licence

Licences are annual subscriptions: access, updates, and support run for the paid period and renew or end per the Order. A free evaluation period (trial) may be offered before purchase.

4. Accounts and access

Web-edition access requires a signed-in account with a verified email address and an active licence entitlement recorded by us — either a personal entitlement or a licence covering the account's email domain. Accounts may be created by self-service sign-up (including a free trial) or provisioned when a licence is issued. The Customer is responsible for keeping credentials confidential and for the actions taken under its accounts, and must notify us promptly of any suspected unauthorised access.

5. Acceptable use

The Customer must not: (a) reverse engineer, decompile, or disassemble the software except to the extent permitted by law; (b) resell, sublicense, or provide the software as a service bureau to third parties; (c) circumvent or attempt to circumvent licence enforcement or security controls; (d) use the software in violation of applicable law; or (e) probe or test the vulnerability of the hosted service other than under our responsible disclosure process.

6. Customer Data

The Customer owns Customer Data. We claim no intellectual-property rights in it. The Customer grants us a limited licence to host, store, transmit, and display Customer Data solely to provide and support the service. Exports (JSON, PDF, PNG, SVG) are available from within the application at any time. If a licence ends, the account retains read and export access to existing Customer Data for at least 30 days, after which we may delete it; the Customer may request earlier deletion at any time.

7. Professional responsibility

Bowtie Risk Engine is a tool that supports barrier-based risk analysis. Its outputs reflect the inputs, assumptions, and judgements of the people using it. The software does not constitute engineering, safety, legal, or regulatory advice, and does not by itself satisfy any regulatory obligation. The Customer remains solely responsible for the adequacy of its risk assessments, for review by competent professionals, and for compliance with the laws, standards, and codes applicable to its work.

8. Fees

Fees are as stated in the Order, in Australian dollars, exclusive of GST and any other applicable taxes, and payable per the Order's payment terms. We may suspend access for accounts materially in arrears after reasonable notice.

9. Support and updates

Support channels and response expectations are described on the contact page. Updates are included while a subscription or maintenance plan is active, as described on the pricing page and in the Order.

10. Warranties and disclaimers

We warrant that the software will perform materially as described on this website when used as intended. To the maximum extent permitted by law, all other warranties are excluded, and the software and hosted service are otherwise provided "as is". Nothing in these terms excludes, restricts, or modifies any consumer guarantee or other right under the Competition and Consumer Act 2010 (Cth) or other law that cannot lawfully be excluded; to the extent permitted, our liability for breach of such a guarantee is limited to re-supplying the software or paying the cost of re-supply.

11. Liability

To the maximum extent permitted by law: (a) neither party is liable to the other for indirect or consequential loss, loss of profits, or loss of data (except a party's breach of clauses 5 or 6); and (b) our total aggregate liability arising out of or in connection with the software is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim, or AUD 1,000 if no fees have been paid. This clause does not limit liability that cannot lawfully be limited.

12. Termination

Either party may terminate for the other's material breach not remedied within 30 days of written notice. On termination or expiry, web access ends (subject to the export window in clause 6). Clauses 6, 7, 10, 11, and 14 survive termination.

13. Privacy

Personal information is handled per our Privacy Policy.

14. General

These terms are governed by the laws of Western Australia, Australia, and the parties submit to the exclusive jurisdiction of its courts. Neither party may assign these terms without the other's consent (not to be unreasonably withheld), except that we may assign to a successor in a genuine corporate reorganisation or sale. If any provision is unenforceable it is severed and the rest remains in force. We may update these terms from time to time; material changes take effect for a Customer on the next renewal, or 30 days after notice for subscription customers.
